1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the eKlotho Nexus healthcare administration platform ("Platform") operated by eKlotho Inc. ("eKlotho," "we," or "us"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

Access to the Platform is provided solely to authorized personnel of organizations that have executed a Master Services Agreement (MSA) with eKlotho. Individual use requires both organizational authorization and acceptance of these Terms.

2. Authorized Use

The Platform is licensed, not sold, for use strictly in connection with:

  • Healthcare delegation management between IPAs, ACOs, PHOs, and Health Plans
  • Provider credentialing, contracting, and roster management
  • Claims processing, review, and adjudication support
  • Utilization management and clinical authorization workflows
  • Quality reporting and HEDIS/STARS measure tracking
  • Member enrollment and eligibility verification
  • Administrative operations within the scope of your organization's contract

3. Prohibited Conduct

You agree not to:

  • Access data outside the scope of your assigned role and organizational permissions
  • Share login credentials or allow unauthorized individuals to access your account
  • Attempt to circumvent authentication, authorization, or audit logging mechanisms
  • Use the Platform to transmit malicious code, conduct unauthorized scans, or exploit vulnerabilities
  • Export, copy, or disclose PHI or confidential business data in violation of applicable law
  • Reverse engineer, decompile, or create derivative works from the Platform
  • Use automated scripts, bots, or scraping tools against the Platform without written consent

4. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify your organization's administrator and eKlotho at security@eklotho.com if you suspect unauthorized access to your account.

eKlotho reserves the right to suspend or terminate accounts that pose a security risk, are used in violation of these Terms, or are associated with a terminated organizational relationship.

5. Intellectual Property

The Platform, including all software, content, interfaces, algorithms, and documentation, is the exclusive property of eKlotho Inc. and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for authorized purposes during the term of your organization's agreement.

6. Data and Confidentiality

Data entered into or generated by the Platform belongs to you and your organization, subject to the terms of your MSA. eKlotho processes this data as a service provider and does not claim ownership. You are responsible for ensuring that your use of the Platform complies with all applicable laws, including HIPAA, state privacy laws, and your contracts with health plans and providers.

7. Disclaimers

The Platform is provided "as is" and "as available." eKlotho makes no warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. eKlotho does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

The Platform is a clinical administration tool and does not constitute medical advice. Clinical decisions remain the responsibility of licensed healthcare professionals.

8. Limitation of Liability

To the maximum extent permitted by applicable law, eKlotho shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. eKlotho's total liability arising from or related to these Terms shall not exceed the amounts paid by your organization in the three months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
